**INVERSIONAI COMMERCIAL LICENCE AGREEMENT**

**Version 1.0 — Effective upon purchase**

**1. PARTIES**

This licence agreement is entered into between InversionAI (“Licensor”) and the individual or business entity who completed the purchase (“Licensee”).

**2. THE LICENCE**

Upon completed payment InversionAI grants the Licensee a non-exclusive, non-transferable, perpetual, worldwide licence to use the purchased image pack (“the Images”) in accordance with the terms set out in this agreement.

**3. PERMITTED USES**

The Licensee may use the Images for the following purposes:

– Social media content and advertising across all platforms
– Website imagery including headers, banners, backgrounds and editorial content
– Print advertising including magazines, newspapers, flyers and brochures
– Editorial use in magazines, blogs, publications and media
– Product packaging and labelling
– Billboard and outdoor advertising
– Email marketing campaigns and newsletters
– Business presentations and pitch decks
– Commercial campaigns for the Licensee’s own business or clients

All permitted uses apply to both digital and print formats with no expiry date and no royalty payments required beyond the original purchase price.

**4. RESTRICTIONS**

The Licensee may NOT use the Images for any of the following:

**4.1 Resale and redistribution**
The Images may not be resold, sublicensed, redistributed or made available for download as stock photography, stock assets or any similar digital product. The Images may not be included in any collection, bundle or product sold to third parties.

**4.2 Adult content**
The Images may not be used in pornographic, sexually explicit or adult entertainment material of any kind.

**4.3 Political use**
The Images may not be used in political advertising, political campaigns, political propaganda or any material intended to influence political opinion or electoral outcomes.

**4.4 Deepfakes and synthetic identity**
The Images may not be used to create deepfakes, synthetic identities, fake personas or any content designed to deceive others into believing the depicted person is a real individual or that fabricated events occurred.

**4.5 AI training**
The Images may not be used to train, fine-tune, test or otherwise develop artificial intelligence systems, machine learning models, image generation models or any similar technology.

**4.6 NFTs and blockchain**
The Images may not be minted as NFTs (non-fungible tokens) or used in any blockchain-based ownership or trading system.

**4.7 Misrepresentation**
The Licensee may not claim the Images as their own original photography, represent the Images as having been produced by a human photographer, or otherwise misrepresent the origin or nature of the Images.

**5. SINGLE ENTITY USE**

This licence is granted to a single individual or business entity only. The Images may not be shared with, transferred to or used by any third party outside of the Licensee’s own business. Agencies and studios may use the Images in work produced for their clients provided the Images are not delivered to clients as raw assets for independent use.

**6. ATTRIBUTION**

Attribution to InversionAI is not required but is always appreciated.

**7. OWNERSHIP**

InversionAI retains full ownership and copyright of all Images at all times. This agreement grants a licence to use the Images and does not constitute a transfer of ownership or copyright under any circumstances.

**8. NO WARRANTY AS TO LIKENESS**

The Images depict entirely AI-generated synthetic persons. No real individual is depicted. InversionAI makes no warranty regarding third party claims of likeness and accepts no liability for any such claims arising from the Licensee’s use of the Images.

**9. INDEMNIFICATION**

The Licensee agrees to indemnify and hold InversionAI harmless from any claims, damages, losses or expenses arising from the Licensee’s use of the Images in violation of this agreement.

**10. TERMINATION**

InversionAI reserves the right to terminate this licence immediately and without refund if the Licensee is found to be in breach of any term of this agreement. Upon termination the Licensee must cease all use of the Images and destroy all copies in their possession.

**11. GOVERNING LAW**

This agreement is governed by the laws of England and Wales. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

**12. ACCEPTANCE**

By completing a purchase on inversionai.co.uk the Licensee confirms they have read, understood and agree to be bound by the terms of this licence agreement.
